TERMS AND CONDITIONS FOR THE PROVISION OF EDUCATIONAL SERVICES THESE TERMS AND CONDITIONS HAVE BEEN ACCEPTED BY THE STUDENT AFTER COMPLETING THE REGISTRATION FORM AND ARE INCLUDED BELOW FOR REFERENCE SHP TREINAMENTO LTDA. (hereinafter referred to as "SHP Financial Training & Recruitment") is a legal entity registered under CNPJ/MF nº 20.337.870 / 0001.68, headquartered at Avenida Paulista, 1636, Conjunto 4, 5º Andar, in the Bela Vista district, São Paulo Paulo, SP, which is dedicated to organizing and offering preparatory courses for obtaining international certification ("Courses"). Sign this contract with Ana Lucia Tomé da Fonseca, holder of CPF 010.846.657-43, residing at Rua das Laranjeiras 48 / 202 – Rio de Janeiro – RJ zip code 22240-000. Considering that SHP Financial Training & Recruitment has an adequate structure to offer the Courses and the Contracting Party (“Student”) is interested in contracting the educational services provided by SHP Financial Training, the parties resolve, in good faith, to enter into this AGREEMENT FOR THE PROVISION OF EDUCATIONAL SERVICES (“Agreement”), which will be governed by the following clauses and conditions: CONTRACT REGIME Clause 1. Under the conditions agreed between SHP Financial Training and the Student in the Enrollment Form, the student hires the services provided by SHP Financial Training, according to the choice made by the Student in the Enrollment Form, upon payment of the agreed Price. Clause 2. The modalities of the SHP Financial Training Courses are described as face-to-face (at FECAP Campus headquarters, Avenida da Liberdade, 532, in the City of São Paulo, State of São Paulo, CEP: 01502-001), live online (courses available live via the Internet) and In-company (at the Contracting Party's headquarters or at the Contractor's headquarters). Clause 3. The Student agrees to attend the entire Course in the modality agreed in the Enrollment Form, and any courtesy or flexibility offered by SHP Financial Training does not imply the Contractor's obligation to change the modality of the Course contracted by the student, nor to permanently offer any other benefit not previously agreed in the Enrollment Application. Clause 4. The Student is entitled to free online access to recorded Course lectures within one week of the lecture date. Any further access needs will be treated as optional services offered by SHP Financial Training and may incur an additional cost to the Student. Clause 5. SHP Financial Training makes available to the Student the possibility of taking a webex test before signing the contract and is exempt from responsibility for any operational problems that may impair the monitoring of the Course and that are the result of incompatibilities between the operational platform outsourced by SHP Financial Training and the device (computer, cell phone or tablet) used by the Student to access online classes. COURSE PLANNING AND ORGANIZATION Clause 6. The planning and organization of the Courses will be the sole responsibility of SHP Financial Training, which will be responsible for all the development of the Courses' content and their respective didactic materials, the definition of dates, times and places of classes, the definition of holidays and recess of classes, the selection of professors, as well as the definition of any measure related to teaching activities. SHP Financial Training may, at its sole discretion, change disciplines, replace teachers, replace the syllabus of classes and take any other action that, at its sole discretion, contributes to the quality of the Courses. PRICE AND PAYMENT TERMS Clause 7. For the provision of the services object of this Agreement, the Student must pay SHP Financial Training & Recruitment the amount agreed by the parties, due on the 15th of each month, the amount can be renegotiated between the parties by mutual agreement, at any time during the term of this contract. COURSE DURATION The contracted course lasts 15 months. Not having a forecast for adjustments or postponement of subjects, except for what is observed in Clauses 10 and 12 In, in case of non-completion of any module, when by the student's option, without complying with what clause 12 says, it will be up to SHP, optionally, to acceptance of the justification and postponement of the module. If not accepted. The student will be considered absent and will fail the module. Having to pay again for the module not completed (BRL 5,400.00) Clause 8. In case of delay in the payment of amounts owed by the Student to SHP Financial Training, there will be a late payment fine of 2% (two percent) and late payment interest of 1% (one percent) per month or fraction thereof, in addition to correction currency by the IGPM-FGV (or index that replaces it), of the total overdue. In case of delays greater than 15 (fifteen) days from the due date, the collection will be protested at a notary. §1 In case of duplicate payments, the amount will be automatically deducted from the next installment. Clause 9. The aforementioned amount exclusively covers the provision of services related to the Course described in the Application for Enrollment and the materials expressly established by SHP Financial Training, not covering the cost of exceptional events, training and extra-course activities, which are also optional. THE CANCELLATION OF COURSES FOR FINANCIAL TRAINING BY SHP Clause 10. The Courses depend on the confirmation of a minimum number of Students, which is defined by SHP Financial Training based on the necessary investments for the organization of each Course. SHP Financial Training may, at its discretion, within a period of up to 5 (five) days before the start of classes, choose to cancel the Course in the event that number is not reached, obliging itself, in this case, to notify the Students and to refund the amounts already advanced within a maximum period of 10 (ten) days, counted from the notification of cancellation, in case the Student does not want to participate in the next class. WITHDRAWAL OR CANCELLATION OF THE COURSE BY THE STUDENT Clause 11: This agreement may be terminated by the Student upon written request to SHP Financial Training. §1st: If the withdrawal request is submitted by the Student within 7 days of the beginning of the course (module), the Student will receive a full refund of the amounts paid deducted from the portion of the enrollment that corresponds to the operating costs and expenses incurred by SHP Financial Training for enrollment, student qualification and preparation of didactic material; §2: If the withdrawal request is submitted by the Student within 7 days of the beginning of the course (module) or after the beginning of the course (module), the installments of the course (module) that is in progress will be due. §3: Until the formal cancellation request is submitted, the Student will continue to be obliged to pay for the classes taught, without exception, and will not be refunded for any retroactive amounts before the date of communication of the cancellation related to the classes. TERMINATION OF THE COURSE PROGRAM Clause 12. The student has the right to suspend the study program for up to one year if requested by email up to 7 days before the start of the next module or course. §1st: If the Student requests withdrawal while the module or course is in progress, this module or course is treated as canceled in accordance with Clause 11 above, and the installments of the course (module) that is in progress will be due. §2nd: Under no circumstances will there be any replacement of classes missed by training participants. §3º: If there is any payment related to the postponed module or course, it will be credited for the student’s return. §4º: With locking, the values do not suffer any alteration. STUDENT SUBSTITUTION Clause 13. The replacement of a Student will be allowed, provided that both interested parties request it in writing, at least 7 (seven) days in advance of the start date of classes and provided that the new candidate, according to the evaluation of SHP Financial Training & Recruitment, have sufficient preliminary training to attend the Course. §1st: SHP Financial Training & Recruitment will charge the subject a fee of BRL 300.00. The purpose is to cover administrative costs. All other ACCA fees remain at the expense of the new student. ABSENCE OF LIABILITY Clause 14. SHP Financial Training & Recruitment will endeavor to prepare the Student for the international certification exams for which the Course is directed; however, SHP Financial Literacy does not guarantee the Student's success in the respective tests, and the Student's sole responsibility is the efficiency of his/her preparation and performance on the tests. §1º: Failing the scheduled exam, if the requirements described in the list below are met. The student will have the guarantee pass, which will give the opportunity to take the studies again at no additional cost for one more attempt. Being the release of the guarantee pass, conditional on the formation of the group. REQUIREMENTS TO GUARANTEE PASS Carry out all progress tests and simulations on the platform provided by SHP, within the period stipulated in the schedule, View all content available on the platform; Absence from the actual exam in case of failure in the final simulated. §2nd: If the student fails for the second time, or if he/she is absent or has not scheduled the test, it will be up to SHP to allow, or not, the student to receive a new chance. §1st: The Student hereby declares that he/she is aware that the ACCA is equivalent to a UK Master's degree and the study program is rigorous, and undertakes to follow the school's methodology (preparation for classes, participation in classes and simulations and exercises after each class), involving a time commitment of approximately 20 hours per week (including home study and classes). ACCESS TO INFORMATION AND USE OF MATERIALS, SYSTEMS AND EQUIPMENT DASHP FINANCIAL TRAINING & RECRUITMENT Clause 15. The Student hereby declares and guarantees to SHP Training that: (i) he/she will not use the software and means of communication made available by SHP Financial Training for any purpose except for following classes and reviewing teaching materials, being personally responsible for their misuse; (ii) is aware that classes recorded on the platform will only be available for 1 (one) week after the class date; (iii) will not practice any act that directly or indirectly offends or defames the image and name of SHP Financial Training, its professors, partners, employees and agents; (iv) will not modify and/or copy files, passwords, information and/or data from third parties, including SHP Financial Training, without prior and express authorization, in writing, from the owner and/or owner of said data and/or information; (v) will not infringe the copyright and/or intellectual property rights of SHP Financial Training and/or third parties, being described here: use, copy in any way, distribute, publish or quote the material applied in said training, without prior authorization expressed in writing by SHP Financial Training. REPRESENTATIONS AND GUARANTEES OF SHP FINANCIAL TRAINING & RECRUITMENT Clause 16. SHP Financial Training & Recruitment hereby declares and guarantees to the Student that: (i) it will apply, in its relations with the Student, the principles of good faith and professional ethics, in strict compliance with current legislation; and (ii) will use its best efforts to provide the services that are the object of this Agreement. Clause 17. It is the Student's sole responsibility to comply with any visa requirements. Section 18. SHP Financial Training & Recruitment gathers student data through the Application Form. This data is stored in a database for SHP Financial Training & Recruitment to communicate course information and process student payments. SHP's privacy policy and financial training procedures comply with the General Data Protection Regulation (GDPR). Details will be shared with ACCA for the use of the ACCA Results Service. The ACCA Results Service is the mechanism for collecting student data to enable analysis of pass rates. IMAGE DISCLOSURE Clause 19. The Student authorizes SHP Financial Training & Recruitment, free of charge, to use his name and image for disclosure, by any means. DURATION Clause 20. This Agreement is signed for the duration of the Course, in accordance with the terms and conditions stipulated in the Application for Enrollment. Clause 21. The student hereby declares that he has been informed, verbally and/or by email, about the duration of the course. ANNEXES Clause 22. Student declares having received ANNEX 1 (ENROLLMENT DECLARATION), ANNEX 2 (ACCA EXCHANGE AUTHORIZATION) and ANNEX 3 (STUDENT MANUAL). GENERAL CONDITIONS Clause 23. The non-attendance of the student in classes does not prevent the payment of monthly installments to SHP Financial Training. TERMINATION Clause 24. Either Party may consider this Agreement immediately terminated, in the following cases: (i) breach, by the opposing Party, of any obligation assumed in this Instrument, provided that such breach cannot be remedied or, if it is remedied, it is not in up to 30 (thirty) days from the receipt, by the infringing Party, of written notification from the aggrieved Party, in which case the infringing Party is liable for the losses and damages it causes, without prejudice to the application of the fines provided for in this Agreement, as applicable ; and (ii) insolvency, judicial or extrajudicial recovery or declaration of bankruptcy by the opposing Party. SHP Financial Training may also consider this Agreement terminated by operation of law when the Student, by his conduct, puts the safety, image or smooth running of the Course at risk, without prejudice, in this case, to the collection of applicable fines under this Agreement. JURISDICTION AND JURISDICTION Clause 25. This Agreement will be governed by and construed in accordance with Brazilian Law. To resolve any issues arising from this Agreement, the Parties elect the Jurisdiction of the Judicial District of São Paulo, excluding any other, however privileged it may be.
